Terms of Service
These terms apply to all services provided by wkalidev ("I", "me") to a client or partner ("you"): software development, smart contract security reviews, consulting, and content partnerships. A written quote or statement of work (SOW) accepted by both parties forms the contract, together with these terms. If they conflict, the SOW prevails.
1. Quotes and scope
Each project starts with a written quote describing the scope, deliverables, timeline and price. Work outside the agreed scope is quoted separately before it starts. Quotes are valid for 30 days.
2. Payment
- Development projects: 50% upfront, 50% on delivery, unless the SOW says otherwise. Larger projects may be split into milestones.
- Security reviews and content partnerships: 100% upfront.
- Accepted payment methods: bank transfer, or stablecoins (USDC) to an address confirmed in writing.
- Invoices are due within 14 days. Work may pause on overdue invoices.
3. Timelines and client responsibilities
Timelines assume timely access to the information, credentials, repositories and feedback I need. Delays on your side move the delivery date accordingly. You are responsible for the content, data and third-party rights you provide.
4. Smart contract security reviews
A security review is a time-boxed, best-effort analysis of the code in scope, at a specific commit. It reduces risk but does not guarantee that the code is free of vulnerabilities. It is not a substitute for a full audit by a dedicated audit firm, formal verification or a bug bounty programme. Any change to the code after the reviewed commit is out of scope. Findings are confidential and shared only with you, unless you agree to publication.
5. Intellectual property
Once full payment is received, you own the deliverables created specifically for you. I keep ownership of my pre-existing tools, libraries and know-how, and grant you a licence to use them as part of the deliverables. Open-source components remain under their own licences. Unless you object in writing, I may mention the project in my portfolio without confidential details.
6. Confidentiality
Both parties keep the other's confidential information private and use it only for the project. This obligation survives the end of the contract.
7. Warranty and liability
Deliverables are provided with reasonable skill and care. I fix reported defects in the agreed scope free of charge for 30 days after delivery. To the extent permitted by law, my total liability for any project is limited to the amount paid for that project, and I am not liable for indirect losses, lost profits, or losses of digital assets resulting from deployed smart contracts, private key management or third-party protocols.
8. Content partnerships
Sponsored content is clearly disclosed as required by law and platform rules. I keep editorial control and only feature products I can honestly recommend. Partnership fees are not refundable once the content is published.
9. Termination
Either party may end a project with written notice. You pay for the work completed up to that date. Upfront payments for work already started are not refundable.
10. Governing law
These terms are governed by the laws of France. Both parties will first try to resolve any dispute amicably.
